PCC finds no competition concerns in Robinsons Supermarket’s acquisition of Premiumbikes
The Philippine Competition Commission (PCC) found no competition concerns arising from the proposed acquisition by Robinsons Supermarket Corporation (Robinsons Supermarket) of 100 percent of the shares of Premiumbikes Corporation (Premiumbikes).
Robinsons Supermarket is a domestic company engaged in the buying, selling, distributing, and marketing of general goods at wholesale and retail. It operates under several brands, including Robinsons Supermarket, Robinsons Easymart, Robinsons Department Store, Shopwise, The Marketplace, and Uncle John’s. One of its subsidiaries, Robinsons Handyman, Inc., operates the company’s do‑it‑yourself retail segment under the Handyman Do It Best and True Value brands.
Premiumbikes is engaged in the buying, selling, distributing, marketing, and promotion of motorcycles, spare parts, and related accessories at wholesale and retail. It operates over 200 branches nationwide and carries motorcycle units from Yamaha, Honda, Kawasaki, Suzuki, TVS, and Kymco.
The PCC’s Mergers and Acquisitions Office examined the relevant markets within the cities or municipalities where the parties operate for both the sale of motorcycle accessories and the sale of motorcycle oils and lubricants. The review considered information gathered from the parties and inputs from sector stakeholders, including various sector regulators, competitors, and trade groups.
The PCC found that the proposed transaction is unlikely to result in a substantial lessening of competition in each of the identified relevant markets. The merged entity’s ability or incentive to unilaterally exercise their market power to negatively impact competition in any of the relevant markets is limited both by the fact that the parties hold limited market shares in the relevant markets and there are still numerous competitors present.
The PCC continues to carry out its mandate to ensure that mergers and acquisitions do not prevent, restrict, or lessen competition, and that markets remain fair and competitive for both consumers and businesses.
