ABSTRACT:
The proposed transaction involves the acquisition by TQMP Glass Manufacturing Corp. (TQMP) of 100% of the issued and outstanding shares owned by Asahi Glass Co., Ltd. (AGC) in AGC Flat Glass Philippines, Inc. (AGPH).
The Target Company AGPH is engaged in the business of flat glass manufacturing and sale.
TQMP is a new company owned by individuals with investments in glass importation and distribution. TQMP intends to venture into flat glass manufacturing and sale by acquiring the Target Company.
