Acquisition by TKP Salcedo Holding Corp. of Shares in Taisei Philippine Construction, Inc.
ABSTRACT:
This notification relates to the transaction between TKP Salcedo Holding Corp. (“TKP”) and Taisei Philippine Construction, Inc. (“TPCI”). TKP intends to subscribe to 187,500 shares of stock of TPCI (the “Transaction”).
Both parties are corporations duly organized and existing under Philippine laws. TKP is primarily engaged in the business of a holding company while the TPCI is primarily engaged in the construction business in the Philippines.
After the Transaction, TKP will own 60% of TPCI’s shares.
