In the Matter of the Proposed Acquisition by Liquigaz Philippines Corporation of Shares in Brenton International Venture Manufacturing Corp.
ABSTRACT:
The proposed transaction pertains to the acquisition by Liquigaz Philippines Corporation (LPC) of Three Hundred Twenty-Five Thousand (325,000) common shares of Brenton International Venture Manufacturing Corp. (BIVMC) representing all of the issued and outstanding capital stock of BIVMC from Brent Group Properties and Holdings Phils, Inc., Edward William S. Tan, Edwin William S. Tan, Edmund William S. Tan, Maria Cecilia M. Tan and Raymond C. Uy.
Upon completion of the acquisition, LPC intends to have effective control of the entire liquefied petroleum gas businesses of BIVMC and its wholly-owned subsidiary, Asian Unicorn Trading Ventures Corp.
