In the Matter of the Proposed Acquisition by Ascendas-Singbridge Pte. Ltd.
of Shares in CapitaLand Limited
ABSTRACT:
Ascendas-Singbridge Pte. Ltd. (Ascendas-Singbridge), a subsidiary of Temasek Holdings (Private) Limited, and CapitaLand Limited (CapitaLand) entered into a Share Purchase Agreement where CapitaLand will issue 862,264,714 ordinary shares to Ascendas-Singbridge as part of the consideration for the sale by Ascendas-Singbridge of all of its shares in Ascendas Pte Ltd and Singbridge Pte. Ltd. to CapitaLand.
As a result of such issuance, Temasek Holdings (Private) Limited’s direct and indirect shareholding through Ascendas-Singbridge in CapitaLand will be increased to more than 50% post completion.
